Please read the following terms and conditions carefully before completing the enrollment process and using this website. The Agreement sets forth the terms and conditions on which StageDoorConnections.com, Inc. ("SDC") will provide you ("SUBSCRIBER") limited non-exclusive access to SDC's online subscription service, ("SERVICE"). By completing this enrollment process, you agree to be bound by the terms and conditions set forth.
Information received by SUBSCRIBER from the SERVICE is provided solely for the use of the SUBSCRIBER. Unless separately and specifically licensed to do so in writing by SDC, SUBSCRIBER agrees not to re-circulate, disclose or distribute any of the information received from the SERVICE, to any other person, organization or entity. SUBSCRIBER expressly agrees that the SERVICE shall be used solely for the benefit of the SUBSCRIBER and data derived from the SERVICE shall not be re-dispersed by SUBSCRIBER. SUBSCRIBER acknowledges that all editorial information including but not limited to news, stories, listings and directory information, are the exclusive property of SDC and are fully protected by copyright law. SUBSCRIBER may use the information in the SERVICE under the following terms. SERVICE grants to SUBSCRIBER a personal, non-transferable license to use the data contained in the SERVICE for research, planning and marketing related purposes.
SUBSCRIBER agrees to make payments in consideration for the SERVICE. SUBSCRIBER agrees that the length of the period chosen was determined by the subscription plan agreed to during the sign-up process. It is understood and agreed that the features of the SERVICE are subject to change without notice to SUBSCRIBER. By completing the enrollment process, SUBSCRIBER acknowledges understanding that periodic charges will be billed to SUBSCRIBER'S credit card automatically until SUBSCRIBER cancels their account. SUBSCRIBER agrees that the subscription fee is non-refundable once paid.
SUBSCRIBER represents and warrants that the information provided during the subscription process is true and accurate.
SUBSCRIBER may choose to cancel during the term of the AGREEMENT. Regardless of the reason for cancellation or termination, the access/subscription fees are non-refundable. If SUBSCRIBER has made an advance payment for access, the advance payment paid by SUBSCRIBER is non-refundable, regardless of the reason for cancellation. SDC reserves the right to immediately terminate SERVICE upon failure of SUBSCRIBER to make payment when due or if SUBSCRIBER violates any of the terms and conditions of this Agreement.
(a) SUBSCRIBER acknowledges that SDC makes no warranty, expressed or implied, with respect to the information provided to SUBSCRIBER by the SERVICE. SDC also makes no warranty of the continuous availability of the SERVICE. SUBSCRIBER, under this Agreement, assumes the risk of errors and/or omissions in the information provided, and in its transmission or translation. Subscriber agrees that SDC shall not in any event be liable for including but not limited to any incidental, consequential, direct, indirect, compensatory or special damages arising out of the use or inability to use the service including all development tools (e.g. Virtually Vocal tool) (b) SDC does not represent or warrant that the information, services and/or programs provided by SDC to subscriber will be error free, or will meet the subscriber’s needs. SDC assumes no liability for inaccuracies. SDC reserves the right to edit any services content based on editorial judgment. The provisions of this Section 5 shall survive termination of this agreement. Upon SDC's request, SUBSCRIBER shall defend, indemnify and hold SDC harmless from any claims and expenses, including reasonable legal fees, related to any breach of these Terms by SUBSCRIBER or SUBSCRIBER's use of the SERVICE.
It is understood and agreed by and between the parties that if there is any conflict between this Agreement and SUBSCRIBER'S purchase order or any other document not signed by SDC, this Agreement will govern.
This Agreement shall be governed by the substantive laws of the State of New York applicable to contracts made and performed in the State of New York. Any action or proceeding arising under this Agreement shall be commenced exclusively in either the courts of the State of New York situated in the County of New York.
SUBSCRIBER agrees that if Company takes action (by itself or through its representatives) to enforce any of the provisions of this Agreement, including collection of any amounts due hereunder, Company shall be entitled to recover from SUBSCRIBER (and SUBSCRIBER agrees to pay), in addition to all sums to which it is entitled or any other relief, at law or in equity, reasonable and necessary attorney's fees and any costs of any litigation.
SUBSCRIBER acknowledges by completing the enrollment process and clicking "submit", that this agreement constitute the entire agreement between the parties.
All trademarks, service marks and trade names of Stage Door Connections used in the site are trademarks or registered trademarks of Stage Door Connections.
Stage Door Connections shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if Stage Door Connections has been advised of the possibility of such damages. Applicable law may not allow the limitation of exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you.
In the event that a Stage Door Connections product is mistakenly listed as an incorrect price, Stage Door Connections reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price. Stage Door Connections reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Stage Door Connections shall issue a credit to your credit card account in the amount of the incorrect price.
Stage Door Connections may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to Stage Door Connections.
- 2 weeks before the scheduled first day of your class: You will receive a 100% refund
- 1 week before the scheduled first day of your class: You will receive an SDC credit in the total amount of your initial registration fee for future use (These credits are non-transferrable and can be applied only to seminars, workshops and classes)
- 48 hours before the scheduled first day of your class: No refunds or credits will be applied
Your use of this site shall be governed in all respects by the laws of the state of New York, U.S.A., without regard to choice of law provisions, and not by the 1980 UN Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Stage Door Connections products) shall be in the state or federal courts located in New York. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of Stage Door Connections products) must be commenced within one (1) year after the claim or cause of action arises. Stage Door Connection’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Stage Door Connections may assign its rights and duties under this Agreement to any party at any time without notice to you.
Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a Stage Door Connections or other licensed employee, host, or representative, as well as other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.
Stage Door Connections does not and cannot review all communications and materials posted to or created by users accessing the site and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, Stage Door Connections is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. However, Stage Door Connections reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property right of another or (d) offensive or otherwise unacceptable to Stage Door Connections in its sole discretion.
You agree to indemnify, defend, and hold harmless Stage Door Connections, its officers, directors, employees, agents, licensors and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.
In an attempt to provide increased value to our visitors, Stage Door Connections may link to sites operated by third parties. However, even if the third party is affiliated with Stage Door Connections, Stage Door Connections has no control over these linked sites, all of which have separate privacy and data collection practices, independent of Stage Door Connections. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, Stage Door Connections seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if a specific link does not work).
